01Agreement to Terms

These Terms of Service ('Terms') constitute a legally binding agreement between you ('User', 'you') and Star Moon Technology LLC ('Company', 'we', 'us') regarding your use of the Right Hand service ('Service'). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

02Description of Service

Right Hand is a cloud-based AI agent platform that handles calls, books appointments, and keeps customers in the loop via SMS. Our Service includes:

• Audio transcription and real-time speech-to-text conversion
• AI-generated notes, summaries, and educational content
• Live transcription with speaker identification
• Call Assist AI phone receptionist services
• Team collaboration and workspace management
• Export capabilities in multiple formats
• Integration with third-party services (Google Calendar, etc.)

03Eligibility and Account Requirements

• You must be at least 18 years old to use our Service
• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your account credentials
• You may not create multiple accounts to circumvent usage limits
• Business accounts must be created by authorized representatives

You are fully responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

04Acceptable Use Policy

Enforcement: We reserve the right to investigate violations and take appropriate action, including account suspension or termination, without prior notice.

05AI Services and Content Disclaimer

• AI-generated content may contain errors, inaccuracies, or biases
• Transcription accuracy depends on audio quality and speaking clarity
• Generated notes and summaries are AI interpretations, not verbatim records
• Speaker identification may not always be accurate
• AI-generated content should be reviewed and verified by users

You acknowledge that AI-generated content is provided 'as-is' and may not be suitable for all purposes. We disclaim any warranties regarding the accuracy, completeness, or reliability of AI-generated content.

Your Responsibility: You are responsible for reviewing, verifying, and appropriately using all AI-generated content. We are not liable for decisions made based on AI-generated content.

06Billing and Subscription Terms

• Subscription fees are charged in advance for each billing cycle
• All fees are non-refundable except as required by law
• We may change subscription prices with 30 days advance notice
• Failed payments may result in service suspension
• Usage limits reset at the beginning of each billing cycle
• Overage charges may apply for usage exceeding plan limits

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. No refunds will be provided for unused portions of prepaid subscriptions.

Taxes: You are responsible for all applicable taxes associated with your subscription.

07Intellectual Property Rights

License: We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms. This license terminates when your account is closed or these Terms end.

DMCA: We respond to valid DMCA takedown notices. If you believe your copyrighted work has been infringed, contact us at contact@getrighthand.app with detailed information.

08Privacy and Data Protection

We are committed to protecting your privacy and handling your data responsibly. Our Privacy Policy, incorporated by reference, explains how we collect, use, and protect your information.

• We process your data to provide and improve our Services
• Audio content is processed by third-party AI services as described in our Privacy Policy
• We implement appropriate technical and organizational security measures
• You can export or delete your data at any time through your account

By using our Service, you consent to data processing as described in our Privacy Policy.

09Third-Party Services and Integrations

Our Service integrates with third-party services (OpenAI, Deepgram, Google, Stripe, etc.). These services have their own terms and privacy policies, and we are not responsible for their practices or performance.

• Third-party service outages may affect our Service functionality
• Changes to third-party APIs may impact our features
• Third-party services may have their own usage restrictions

When using integrated services, you may be required to agree to additional terms with those providers.

10Service Availability and Maintenance

We strive to maintain high service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

• We may perform scheduled maintenance with advance notice when possible
• Emergency maintenance may be performed without prior notice
• Service interruptions will be resolved as quickly as possible

Unless specified in a separate agreement, we do not provide service level guarantees for uptime or performance.

11Limitation of Liability

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or content (beyond our data recovery efforts)
• Cost of procurement of substitute services
• Loss of goodwill or reputation
• Any damages resulting from AI-generated content inaccuracies

Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.

12Indemnification

You agree to indemnify, defend, and hold harmless Star Moon Technology LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms or applicable laws
• Your use of the Service in a manner not authorized by these Terms
• Your content or data that infringes third-party rights
• Claims that your use of the Service violates third-party rights

13Termination

By You: You may terminate your account at any time by following the account deletion process in your settings. Termination does not relieve you of any payment obligations for services already provided.

By Us: We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent or illegal activity
• Failure to pay subscription fees
• Extended periods of inactivity
• Risk to the security or integrity of our Service

Effect: Upon termination: (a) your right to use the Service ceases immediately, (b) we may delete your account and data, (c) outstanding payment obligations survive termination, and (d) provisions that by their nature should survive termination will remain in effect.

14Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in Delaware.

• Before filing any legal action, parties must attempt good faith resolution through direct communication
• If direct resolution fails, disputes may be resolved through binding arbitration
• Arbitration will be conducted under the rules of the American Arbitration Association
• Each party bears their own costs and attorneys' fees unless otherwise awarded by the arbitrator

YOU AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

15General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Star Moon Technology LLC regarding the Service and supersede all prior agreements.

Modifications: We may modify these Terms at any time by posting updated terms on our website. Material changes will be communicated via email or prominent notice on the Service. Continued use after modifications constitutes acceptance of the updated Terms.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices: Legal notices will be sent to the email address associated with your account. You are responsible for keeping your contact information current.

16Compliance and Export Controls

The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export laws and not to export, re-export, or transfer the Service to prohibited countries or parties.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country subject to comprehensive economic sanctions by the United States.

17Accessibility

We strive to make our Service accessible to users with disabilities. If you encounter accessibility barriers, please contact us at contact@getrighthand.app so we can work to address them.

18SMS Messaging Terms

Right Hand delivers two types of transactional SMS messages as a core part of its service. By using Right Hand, you agree to the following SMS terms. Right Hand does not send marketing or promotional SMS messages. All messages are automated and directly tied to AI-assisted calls handled by the Right Hand platform.
